Winvia Agrees £19.1 Million Deal For The Giveaway Guys And Win Life

Winvia Entertainment has agreed to acquire The Online Giveaway Guys and its subsidiary Win Life Competitions for a combined consideration of up to £19.1 million, the London-listed prize draw operator said in a regulatory announcement on September 28, 2026.
The deal brings two established UK digital prize draw brands, trading as The Giveaway Guys and Win Life, under Winvia's ownership as part of its stated strategy of building a leading position in the UK prize draw sector through acquisitions and organic growth.
Deal Terms And Purchase Price
Under the asset purchase agreement, Winvia will acquire the trade, business and key assets of The Online Giveaway Guys (TOGG) and Win Life Competitions, excluding liabilities, cash and trade receivables.
The purchase price is based on the sellers' agreed-upon adjusted EBITDA of £4.25 million for the 12 months to the end of June 2026, and on combined gross revenue of £30.3 million for the same period.
Winvia will pay £15.47 million at completion, with deferred consideration of £3.63 million due on the first anniversary of the deal closing, taking the total consideration to roughly £19.1 million.
The acquisition will be funded entirely from the group's existing cash resources, and completion is conditional on the transfer of key supplier agreements, expected by the end of October 2026.
TOGG and Win Life are currently owned by Peter Toye.

TOGG, trading as The Giveaway Guys, has built its brand within the UK prize draw market since launching in 2020, running daily and scheduled draws for a loyal and growing customer base.
Win Life is a more recently launched brand focused on campervan prizes, which Winvia said already has a strong recurring revenue base.

Winvia's Wider Prize Draw And Gaming Business
Winvia Entertainment describes itself as a technology-led entertainment business built around two channels: the large and fragmented UK prize-draw competitions market and online gaming in the regulated Romanian market.
Both channels run on the same proprietary technology platform, which Winvia says has a track record of supporting growth and operational improvement across its brands.
Prize draw competitions in the UK fall outside the Gambling Act 2005, provided operators include a genuinely free route to entry alongside paid entries, which is what separates them from regulated lottery and gambling products offered by licensed online casino operators.
Winvia said the deal is expected to be earnings-enhancing in the first full financial year following completion, expanding the group's scale and customer base within that fast-growing sector.
